Non-Disclosure Agreement (NDA)

This Mutual Non-Disclosure Agreement (“Agreement”) is entered into between TaskSquads Services Pvt Ltd, a company based in Kolkata, India (“TaskSquads”, “Company”, “we”, “our”, or “us”), and the individual or organization accessing or using the TaskSquads platform (“Client”, “User”, or “Receiving Party”).

This Agreement becomes effective when the Client registers an account, accesses the TaskSquads client portal, or uses services provided through the TaskSquads platform.

1. Purpose of the Agreement

The purpose of this Agreement is to establish the obligations of confidentiality between TaskSquads and the Client when confidential or proprietary information is shared in connection with:

• virtual assistant services
• administrative or operational support services
• data annotation and dataset processing services
• communication regarding projects or business activities

Both parties acknowledge that confidential information may be exchanged during the course of service delivery and that such information must be protected.

2. Definition of Confidential Information

For the purposes of this Agreement, “Confidential Information” means any non-public information disclosed by either party to the other, whether in written, electronic, oral, visual, or other form.

Confidential Information may include, but is not limited to:

• business strategies or plans
• internal processes or methodologies
• software, systems, or technical documentation
• datasets or training data used for machine learning
• project specifications and instructions
• client lists, customer information, or contact data
• proprietary algorithms or tools
• financial or operational information

Any information that a reasonable person would consider confidential under the circumstances shall be treated as Confidential Information.

3. Obligations of the Receiving Party

The receiving party agrees to:

1. maintain the confidentiality of all Confidential Information received
2. use Confidential Information solely for the purpose of providing or receiving services under the TaskSquads platform
3. not disclose Confidential Information to any unauthorized third party
4. take reasonable measures to prevent unauthorized access, disclosure, or misuse of such information

Access to Confidential Information shall be limited to personnel or collaborators who require such access for the purpose of performing services.

All TaskSquads personnel and contractors involved in service delivery are subject to confidentiality obligations.

4. Permitted Disclosures

Confidential Information may be disclosed only in the following circumstances:

• to authorized employees or contractors involved in service delivery
• where disclosure is required by applicable law or legal order
• where the disclosing party provides written authorization

Any permitted disclosure shall be limited to the minimum information necessary.

5. Exclusions from Confidential Information

Confidential Information does not include information that:

• becomes publicly available without breach of this Agreement
• was lawfully known by the receiving party prior to disclosure
• is independently developed without reference to confidential information
• must be disclosed pursuant to legal obligations

6. Dataset Confidentiality

For clients using data annotation or dataset processing services, the Client may provide datasets, images, documents, or other materials.

TaskSquads agrees that such materials will:

• be processed only for the purpose of delivering requested services
• not be reused for other projects without permission
• not be distributed or disclosed outside the service relationship

7. Duration of Confidentiality Obligations

The confidentiality obligations under this Agreement shall remain in effect during the course of the service relationship and for two (2) years following the termination of services, unless a longer period is required by law.

8. Return or Deletion of Confidential Information

Upon termination of services or upon reasonable request, confidential materials may be returned or securely deleted where practicable, except where retention is required for legal, regulatory, or operational purposes.

9. No Transfer of Ownership

Nothing in this Agreement grants either party any ownership rights in the other party’s Confidential Information.

All confidential materials remain the property of the disclosing party.

10. Governing Law

This Agreement shall be governed by the laws of India, and any disputes arising from this Agreement shall be subject to the jurisdiction of the courts located in Kolkata, India.

11. Digital Acceptance

By registering an account, accessing the client portal, or subscribing to services on the TaskSquads platform, the Client acknowledges that they have read, understood, and agreed to be bound by this Non-Disclosure Agreement.
